The terms that apply to your use of this website, our products, and TradePilot.

1. Acceptance of these terms

These Terms of Service ("Terms") govern your use of the website at niddhisoftwares.com (the "Website"), your dealings with Niddhi Softwares ("we", "us", "our") as a supplier of IT hardware and software products, and your use of TradePilot, our WhatsApp-based business messaging tool. By using the Website, contacting us, or messaging us via TradePilot, you agree to these Terms.

2. About our business

Niddhi Softwares is a trading business based in Mumbai, Maharashtra, India, supplying computer hardware and software products. We have been trading since 2020. Our business is limited to the sale/trading of products; we do not currently provide installation, annual maintenance, or other on-site services unless separately agreed in writing.

3. Enquiries, quotes, pricing, and availability

The Website does not offer online checkout or listed prices. Product availability, specifications, and pricing are confirmed directly with you at the time of enquiry and may change without notice. Any quote we provide is valid only for the period stated in that quote (or, if none is stated, for a reasonable time) and is subject to product availability at the time of order confirmation. Applicable taxes (such as GST) will be added in accordance with Indian law.

4. Orders, payment, and delivery

Payment terms, delivery arrangements, and any related charges will be agreed with you individually at the time of order, since these are not fixed or automated on the Website. Nothing on the Website constitutes a binding offer to sell at a stated price; an order is only confirmed once we have expressly accepted it.

5. Hardware and software licensing

Hardware products may be subject to the original manufacturer's warranty terms. Software products are subject to the applicable publisher's or manufacturer's own end-user licence agreement, which governs your use of that software; we act as a supplier of the product and are not the licensor of third-party software.

6. Warranties

Except as expressly stated at the time of sale, or as required by applicable Indian consumer protection law, products are supplied without additional express warranties from us beyond those provided by the original manufacturer. Nothing in these Terms is intended to exclude or limit any statutory right that cannot lawfully be excluded or limited.

7. TradePilot and WhatsApp messaging

TradePilot allows you to send business messages to us over WhatsApp using Meta's WhatsApp Cloud API. By messaging us, you agree that we may receive and route your message and related metadata to an authorized member of our team, as described in our Privacy Policy. Outbound WhatsApp messaging and automated AI replies are currently disabled. Your use of WhatsApp is also subject to Meta's own terms of service.

8. Acceptable use

You agree not to misuse the Website or TradePilot, including by attempting to gain unauthorized access to our systems, sending unlawful, abusive, or fraudulent content, or interfering with the normal operation of either.

9. Intellectual property

The Website's content, design, and the "Niddhi Softwares" name and branding are our property or used with permission. Third-party product names, brand names, and trademarks referenced on the Website (such as manufacturer or publisher names) belong to their respective owners, and their mention does not imply endorsement or partnership beyond an ordinary supplier relationship unless expressly stated.

10. External services

The Website and TradePilot rely on third-party services, including Cloudflare (hosting), Google Workspace (email), and Meta's WhatsApp Cloud API (messaging). We are not responsible for the availability or performance of these third-party services.

11. Disclaimers and limitation of liability

The Website and its content are provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, Niddhi Softwares disclaims liability for indirect, incidental, or consequential loss arising from your use of the Website or TradePilot. Nothing in these Terms limits any liability that cannot lawfully be limited or excluded under Indian law.

12. Suspension and termination

We may suspend or restrict access to the Website or TradePilot where we reasonably believe there has been misuse, fraud, or a breach of these Terms.

13. Governing law

These Terms are governed by the laws of India, and any disputes arising from them will be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra.

14. Changes to these terms

We may update these Terms from time to time. The "last updated" date at the top of this page will reflect the most recent revision. Continued use of the Website or TradePilot after changes take effect constitutes acceptance of the updated Terms.
